David Siegel

David is an unusual startup lawyer in having done sophisticated legal work in both transactional and litigation matters: he is an accomplished startup lawyer and litigator who has extensive experience with our firm in handling a broad range of corporate, transactional, and intellectual property matters, including work on multi-million dollar financings and acquisitions, all in addition to having a deep expertise in handling complex intellectual property, corporate, and commercial litigation matters.

Experience

Prior to joining Grellas Shah, David worked for five years at the nationally-recognized firm of Gibson, Dunn & Crutcher, initially out of its New York office and subsequently out of Palo Alto. He has a keen interest in working with startups and has worked closely with early-stage companies since joining the firm while expanding his expertise in the startup field.

David is licensed to practice in California and New York.

Represented Manifest Legal Tech in connection with its $60 million Series A financing at a $750 million valuation, transaction recognized as the largest Series A financing in legal technology history. 
 
Represented Thalamus, a public benefit corporation focused on physician workforce solutions, in connection with a $30 million Series B preferred financing led by the Association of American Medical Colleges (AAMC). 
 
Represented Thalamus in negotiating and structuring its strategic collaboration agreement with the Association of American Medical Colleges to improve the transition from medical school to residency training programs nationwide. 
 
Represented the sellers of ScribbleVet, an AI-powered veterinary scribing platform serving thousands of veterinarians nationwide, in connection with its acquisition by Instinct Science. 
 
Represented Edge Impulse, a leading-edge AI platform serving more than 170,000 developers worldwide, in connection with its acquisition by Qualcomm Technologies. 
 
Represented Saris AI, a developer of agentic workflow automation solutions for banks and credit unions, in connection with its $28.8 million Series A financing, including the implementation of a cross-border exchangeable share structure coordinated with Canadian counsel.
